Supervisory Body
It is established by the Board of Directors and is responsible for overseeing compliance with the Model 231 and ensuring that it is kept up to date.
Composition
Responsibilities
The Supervisory Body has been entrusted with the following responsibilities:
- monitoring the effectiveness of the Model by verifying the consistency between actual conduct and the adopted Model;
- monitoring the continued adequacy of the Model over time for prevention purposes and submitting any proposals for updates to the Board of Directors;
- receiving reports of unlawful conduct relevant under the Decree or violations of the Model and handling them in accordance with applicable laws and the dedicated “Whistleblowing Procedure”;
- where it identifies any violations of the Model that may give rise to liability on the part of the entity, reporting such violations to the competent corporate functions for the adoption of appropriate measures, including disciplinary actions.
In order to carry out the above responsibilities, the Supervisory Body is granted autonomous powers of initiative and control.
